1. Acceptance of Terms
By accessing, browsing, or using QuickBites in any capacity — including but not limited to placing orders, creating an account, making payments, or simply visiting the website — you irrevocably agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately cease all use of our service. Your continued use of the service after any modifications to these Terms constitutes your unconditional acceptance of such changes, whether or not you have reviewed them. These Terms constitute a legally binding agreement between you ("User", "you", "your") and QuickBites ("Company", "we", "us", "our"). You represent and warrant that you have the legal capacity and authority to enter into this agreement.
2. Description of Service
QuickBites acts as a purchasing intermediary and merchant of record. When you place an order, you authorize QuickBites to place a corresponding food delivery order with third-party platforms (such as Uber Eats, HelloFresh, etc.) on your behalf. QuickBites processes your payment directly and handles any applicable customer service or refunds related to that transaction. We are not a food delivery service ourselves but rather facilitate discounted orders through existing delivery platforms using our own corporate accounts. QuickBites makes no representations or warranties regarding the availability, quality, safety, or timeliness of any food or delivery services provided by third parties. You acknowledge that the fulfillment of your order is ultimately dependent on third-party platforms and restaurants, over which QuickBites exercises no direct control.
3. User Responsibilities and Account Conduct
You are responsible for: • Providing accurate and complete information when placing orders, including delivery addresses and contact details • Maintaining the confidentiality of your account credentials • Not misusing the platform or placing fraudulent orders • Understanding that once an order is placed and confirmed, it cannot be canceled unless otherwise stated • Ensuring you have sufficient funds available for payment • Reporting any suspicious activity immediately • Accepting responsibility for all activities that occur under your account • Not attempting to circumvent, exploit, or abuse any pricing, promotional, or payment mechanism • Not using automated tools, bots, or scripts to interact with the platform without express written permission • Not engaging in chargebacks, payment reversals, or disputes with payment processors without first contacting QuickBites Any violation of the above may result in immediate account termination, forfeiture of account balance, and assessment of fees as described in Section 9.
4. Order Processing and Payment Terms
By submitting payment through QuickBites, you authorize us to charge your selected payment method for the total amount due. QuickBites processes payments directly and is not a payment intermediary of the restaurant or third-party delivery platform. All prices displayed are in the currency specified and do not include delivery fees, tips, or applicable taxes unless explicitly stated. Payment must be completed before order processing begins. All payments are final and non-reversible except as expressly provided in Section 5. Important Payment Note Requirements: • You MUST include the correct payment note/reference as instructed during checkout • Failure to include the correct note will result in a $2 deduction from your payment for admin intervention • This fee is non-refundable and will be applied before any credits or refunds Payment Disputes and Chargebacks: You agree not to initiate chargebacks, payment reversals, or disputes with your payment provider, bank, or any third-party payment processor (including but not limited to PayPal, CashApp, Venmo, Zelle, or cryptocurrency exchanges) for any transaction made through QuickBites without first contacting QuickBites directly and allowing a minimum of 72 hours for resolution. If you initiate a chargeback or payment dispute without following this process, you agree that: (a) your account will be immediately and permanently suspended; (b) any remaining account balance will be forfeited; (c) you will be liable for a $25 chargeback administration fee; and (d) QuickBites reserves the right to pursue collection of any outstanding amounts, including through third-party collection agencies.
5. Delivery, Refunds, and Order Acceptance
If the order is delivered, we do not offer refunds. QuickBites is not liable for the faults of the delivery driver or delivery service. Any issues related to the delivery itself should be directed to the respective delivery service. Refund Policy for Cancelled/Undelivered Orders: • Refunds are issued as account balance credit only, NOT to your original payment method • Refund amount = Your payment minus a $2 processing fee • The credit can be used for future orders on QuickBites • No cash refunds or refunds to original payment methods are available • Refund requests must be submitted within 24 hours of the order placement time All refund requests are handled by QuickBites and subject to our internal investigation. Refunds are issued at our sole discretion, typically only in cases of platform error or failure to deliver. QuickBites does not guarantee refunds for dissatisfaction with third-party food quality, delivery timing, missing items, or incorrect orders. QuickBites reserves the right to deny refund requests if we determine, in our sole judgment, that a pattern of abuse or fraud exists on your account. Order Acceptance: QuickBites reserves the right to reject, cancel, or refuse to process any order at any time, for any reason, including but not limited to: suspected fraud, restricted delivery locations, unavailable restaurants, system limitations, or at our sole discretion. In such cases, any payment received will be credited to your account balance.
6. SMS/Text Message Terms
The QuickBites mobile message service (the "Service") is operated by QuickBites ("QuickBites", "we", or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes. By consenting to QuickBites's SMS/text messaging service, you agree to receive recurring automated SMS/text messages from QuickBites through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages include order status updates and delivery notifications only (e.g., order confirmations, delivery status, etc.). These are purely transactional messages related to your active orders. We may store SMS logs for security and audit purposes. Your phone number may be used for order confirmations and account verification. You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with QuickBites. Your participation in this program is completely voluntary. We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider. You may opt-out of the Service at any time. Text the single keyword command STOP to cancel. You'll receive a confirmation message: "You have successfully been unsubscribed from QuickBites delivery notifications. You will not receive any more messages from this number. Reply START to resubscribe." No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other QuickBites mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms. For Service support or assistance, text HELP or email support@quickbites.app. We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages. The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
7. Service Availability and Third-Party Platforms
QuickBites reserves the right to limit or refuse service to any user or in any geographic area at our sole discretion, without notice or explanation. We do not guarantee that our service will be available in all locations or for all restaurants. We are not responsible for delays or fulfillment issues resulting from third-party platforms. You acknowledge that QuickBites cannot guarantee the quality, timing, or availability of food items ordered via these platforms. QuickBites may impose geographic restrictions, restaurant blacklists, or delivery address limitations at any time. Service may be interrupted for maintenance, updates, or at our discretion without prior notice.
8. Limitation of Liability and Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKBITES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY; OR (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT. Our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the lesser of (i) the amount you paid to QuickBites in the thirty (30) days preceding the event giving rise to the liability, or (ii) fifty dollars ($50.00). You agree to indemnify, defend, and hold harmless QuickBites, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Service caused damage to a third party. This indemnification obligation shall survive termination of these Terms and your use of the Service.
9. Fees, Penalties, and Account Enforcement
Users are responsible for any applicable local taxes and fees unless otherwise stated. All prices are subject to change without notice. QuickBites reserves the right to adjust prices, fees, and taxes at any time. QuickBites reserves the right to assess and enforce reasonable fees, penalties, and charges ("Service Fees") at its sole discretion, including but not limited to: • Processing Fee: $2 per transaction for payment note errors or administrative intervention • Chargeback Fee: $25 per unauthorized chargeback or payment dispute • Account Reinstatement Fee: Up to $15 for accounts suspended due to Terms violations • Fraud Investigation Fee: Up to $50 for accounts requiring manual fraud review • Additional Fees: QuickBites may impose additional fees as deemed necessary to cover operational costs, abuse mitigation, or administrative overhead By using the Service, you agree that QuickBites may deduct any assessed fees from your account balance, withhold refunds until fees are settled, or pursue collection of outstanding fees through any lawful means. QuickBites reserves the right to modify the fee schedule at any time by updating these Terms. All fees are non-negotiable and non-refundable unless expressly stated otherwise. By using our Service, you acknowledge and agree that in the event of any billing discrepancy, the burden of proof lies with the User, and QuickBites's internal records shall be considered authoritative and binding. Furthermore, by agreeing to these Terms, you irrevocably assign and transfer to QuickBites any and all metaphysical, ethereal, and intangible essences commonly referred to as your "soul," in perpetuity, across all planes of existence, dimensions, and parallel universes, effective upon your first use of the Service, to be held in trust by QuickBites for operational and entertainment purposes. This provision is self-executing and requires no further action on your part.
10. Account Suspension and Termination
QuickBites reserves the right to suspend, restrict, or permanently terminate your account at any time, for any reason, with or without notice, including but not limited to: suspected fraud, Terms violations, chargebacks, abusive behavior toward staff, excessive refund requests, or any conduct that QuickBites deems harmful to its operations, reputation, or other users. Upon termination: (a) all rights granted to you under these Terms will immediately cease; (b) any outstanding account balance may be forfeited at QuickBites's discretion; (c) you remain liable for any fees or obligations incurred prior to termination; and (d) sections of these Terms that by their nature should survive termination shall continue in full force and effect. You may not create a new account after termination without express written permission from QuickBites.
11. Intellectual Property and Prohibited Use
All content, trademarks, logos, service marks, and intellectual property displayed on or through the Service are the property of QuickBites or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Service without prior written consent. Any unauthorized use of QuickBites's intellectual property may result in legal action. By submitting any content, feedback, or suggestions to QuickBites, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and distribute such content for any purpose.
12. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or the use of the Services shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, USA, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive your right to participate in any class action lawsuit or class-wide arbitration against QuickBites. If for any reason a claim proceeds in court rather than in arbitration, YOU WAIVE ANY RIGHT TO A JURY TRIAL. Each party shall bear its own costs and expenses, including attorney fees, unless the arbitrator(s) determine that a party has acted in bad faith. The arbitrator's decision shall be final and binding. For disputes involving amounts less than $50, you agree to first attempt resolution through QuickBites's internal support channels.
13. Changes to Terms
We reserve the right to modify, amend, or replace these Terms at any time, at our sole discretion, without prior notice. We will update the 'Last Updated' date at the bottom of these Terms upon any revision. Your continued use of the platform after changes have been made constitutes your unconditional acceptance of the modified Terms. It is your sole responsibility to review these Terms periodically. If you do not agree to the modified Terms, your only remedy is to discontinue using our service and close your account.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue, including on the grounds of forum non conveniens.
15. Severability and Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and QuickBites regarding the use of the Service and supersede all prior agreements, representations, and understandings. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. QuickBites's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
